Environment Canada issued the statement Saturday morning for Windsor-Essex, Chatham-Kent, London, Elgin, and Oxford County.
The statement calls for significant rainfall Saturday night, continuing into Sunday.
According to the weather agency, rainfall could range from 25 to 40 mm. There is also a risk of thunderstorms.
People in southern Huron and Lambton counties are being told to limit their time outside.
